\nEXERCISE OF THE GREENSHOE OPTION
\nMilan, 19 December 2018 – EdiliziAcrobatica S.p.A., a company specialized in double safety rope
\nconstruction works, such as maintenance and renovation of buildings and other architectural structures,
\nannounces that, today, Banca Profilo S.p.A. has exercised the option of greenshoe for 149,850 shares
\nowned by Arim Holding S.r.l. (the “Shareholder”).
\nThe option greenshoe is one of the agreements signed [ between the Shareholder and Banca Profilo S.p.A.
\nin the framework of the Operation IPO.
\nThe purchase price of the shares covered by the greenshoe option is Euro 3.33 per share, corresponding to
\nthe price established in the context of the Offer – for a total countervalue equal to about Euro 499,001.
\nThe admission to listing took place following the placement of 1,725,300 ordinary shares, all newly issued,
\nfor a value of Euro 5,720,301 of which:
\ni. 1,499,850 ordinary shares resulting from the capital increase reserved for the market;
\nii. 75,600 ordinary shares resulting from the share capital increase reserved for employees; and
\nadministrators;
\niii. no. 149,850 ordinary shares, corresponding to approximately 8.7% of the offer, found from the
\ngreenshoe capital increase.
\nFollowing the full exercise of the Greenshoe Option, the free float is equal to 21.27% and the Company’s
\nshare capital is represented by 7,725,300 shares and is held as follows:
