(&#8220;Company&#8221; or &#8220;EDAC&#8221;), a<br \/>\ncompany specialized in double safety rope construction works, such as maintenance and renovation of<br \/>\nbuildings and other architectural structures, listed on the AIM Italia segment of the Italian Stock Exchange<br \/>\n(EDAC ticker) and Euronext Growth (ALEAC ticker), met today under the chairmanship of Simonetta Simoni<br \/>\nand resolved to allocate the net profit for 2019, equal to Euro 1,225,175.00 as follows:<br \/>\n&#8211; Euro 760,726.75 to dividends to be distributed, equal to Euro 0.096 per share, gross of withholding taxes,<br \/>\nwith ex-dividend date, in accordance with AIM Italia&#8217;s 2020 calendar, on 31 August 2020, date of<br \/>\nentitlement to receive the dividend on 1 September 2020 and date of payment of the dividend on 2<br \/>\nSeptember 2020;<br \/>\n\u2022 The remaining part, equal to Euro 464,448.25, for Euro 3,979 to the legal reserve, which with this<br \/>\nallocation reaches the legal limit of 20% of the share capital, and for Euro 460,469.25 to the<br \/>\nretained earnings reserve.<br \/>\nAt the same meeting, the Shareholders&#8217; Meeting, having noted the resignation of Director Riccardo Iovino<br \/>\nfrom the Board of Directors, accepted his willingness to be appointed as a new member of ARIM Holding,<br \/>\nthe holding company of which Iovino himself is sole director, and which already holds a stake of<br \/>\napproximately 76.24% of the share capital of EdiliziAcrobatica S.p.A., available.<br \/>\nTo guarantee full and complete continuity in the management of the Group as well as greater efficiency<br \/>\nand cost containment, Riccardo Iovino himself will hold the position of Managing Director in the name and<br \/>\non behalf of ARIM Holding.<br \/>\n&#8220;We have considered it appropriate, in recognition of the investors who have believed in us, a partial<br \/>\ndistribution of dividends, which is also possible despite the particularly delicate period for the global<br \/>\neconomy &#8211; commented Riccardo Iovino -. This is certainly an important result for the Group which, during<br \/>\n2019, as well as in 2020, has made important investments aimed at fostering its growth and penetration<br \/>\ninto new territories both in Italy and Europe. The development strategies developed in recent years,<br \/>\nmoreover, are absolutely in line also with the entry into the Board of Directors of ARIM Holding, the family<br \/>\nholding company of which I am sole director.
